ICIP reserves the right to amend these Terms at any time by posting a revised version on the Site, effective upon posting.
2. Nature of the Site
The Site is provided for informational purposes only. Access to or use of the Site, including submission of the contact form, does not create any client, member, sponsor, advisory, agency or other relationship between the User and ICIP. Any engagement with ICIP shall be governed exclusively by a separate written agreement. Content on the Site does not constitute legal, tax, immigration, investment or other professional advice and shall not be relied upon as such. Statistical information is derived from the sources cited and is presented as published, without independent verification. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to purchase, any security or investment in any jurisdiction.
3. Permitted Use
The User shall use the Site solely for lawful purposes and shall not: (a) scrape, harvest or otherwise systematically collect content or contact information from the Site; (b) interfere with the operation or security of the Site; (c) impersonate any person or misrepresent any affiliation; (d) transmit unsolicited commercial communications through the Site; or (e) submit confidential information, or personal information of any third party, through the contact form.
4. Intellectual Property
All content on the Site, including text, graphics, layout, and the ICIP name and logo, is the property of ICIP or its licensors and is protected under applicable Canadian and international intellectual property laws. The User may view and print Site content for personal, non-commercial reference only. Any other reproduction, distribution or use requires the prior written consent of ICIP. Third-party names and marks appearing on the Site remain the property of their respective owners. Information concerning ICIP personnel and advisors is published with their consent and shall not be used for the compilation of contact lists, recruitment or solicitation.
5. Third-Party Websites
The Site may contain links to websites operated by third parties. ICIP exercises no control over, and assumes no responsibility for, the content or practices of any such website.
6. Disclaimer of Warranties
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, ICIP disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted operation.
7. Limitation of Liability
To the fullest extent permitted by applicable law, ICIP and its directors, officers, employees, advisors and agents shall not be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profits, data or business, arising out of or in connection with the use of or inability to use the Site. Where liability cannot be excluded, the aggregate liability of ICIP shall not exceed one hundred Canadian dollars (CAD $100).
8. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The User irrevocably submits to the exclusive jurisdiction of the courts of Ontario sitting in Toronto in respect of any dispute arising out of or relating to the Site or these Terms.
9. General Provisions
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. No failure by ICIP to enforce any provision shall constitute a waiver thereof. These Terms and the Privacy Policy constitute the entire agreement between the User and ICIP with respect to the Site. In the event of any inconsistency between the English version of these Terms and any translation, the English version shall prevail.
